Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and McFinnigan Innovations LLC ("Morphora," "we," "us," or "our"), governing your access to and use of the Morphora.ai™ platform, including all associated services, tools, and content available at morphora.ai and related domains.

By creating an account, purchasing tokens, or using any Morphora service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using Morphora on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the platform.

Morphora.ai provides an AI-powered platform for website creation and marketing automation. Our services include, but are not limited to:

• Build Engine. AI-assisted website design, development, and deployment through our structured 7-stage methodology from reconnaissance to deployment.
• Promote Engine. Continuous AI marketing services including social media management, SEO optimization, email campaigns, advertising, video content, and lead management.
• Brand Builder Tools. Self-service tools for business planning, marketing strategy, and brand identity development.
• Staging & Review System. Collaborative staging environment for client review and feedback before deployment.
• AI-Managed Hosting. Cloud hosting with zero-downtime deployments, automated backups, SSL, and monitoring.

We reserve the right to modify, expand, or discontinue any service feature at any time with reasonable notice to active clients.

To access certain features of the platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials and not share them with unauthorized parties.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that appear to involve fraudulent activity.

Morphora operates on a token-based pricing system. Tokens are used to access platform services and are available in the following packs: Spark, Ignite, Blaze, and Inferno. By purchasing tokens, you agree to the following:

• All token purchases are final and non-refundable, except where required by applicable law. See our Refund Policy for details.
• Tokens are consumed as services are delivered and do not expire, unless your account is terminated for cause.
• Token pricing is subject to change. Any price changes will apply only to future purchases, not to tokens already in your account.
• You are responsible for monitoring your token balance. We will provide low-balance notifications, but consumption beyond your balance may result in service interruption.
• Promotional or bonus tokens may have different terms and expiration dates, which will be communicated at the time of issuance.

Payment processing is handled through Stripe. Your use of Stripe is subject to their respective terms of service. All financial transactions are processed by McFinnigan Innovations LLC.

As a user of Morphora, you agree to:

• Provide accurate business information for website creation and marketing purposes.
• Review and approve all content before it is published on your behalf.
• Comply with all applicable laws and regulations, including those related to advertising, data protection, and industry-specific requirements.
• Not use the platform to create websites or content that is unlawful, defamatory, obscene, fraudulent, or that infringes on the rights of others.
• Not attempt to reverse engineer, decompile, or otherwise extract the source code of the platform.
• Not use automated tools (bots, scrapers) to access the platform outside of approved integrations.
• Not resell or redistribute platform services without a valid reseller agreement.

Morphora uses artificial intelligence, including third-party AI models, to generate website content, marketing copy, images, and other materials. You acknowledge and agree that:

• AI-generated content is produced algorithmically and may contain errors, inaccuracies, or content that does not fully reflect your business. You are responsible for reviewing all content before publication.
• Morphora does not guarantee that AI-generated content will be unique, original, or free from similarity to other content.
• You assume full responsibility for any AI-generated content once you approve it for publication.
• AI-generated content should not be relied upon as professional advice (legal, medical, financial, or otherwise). You should consult qualified professionals for such matters.
• We continuously improve our AI systems, but we cannot guarantee specific outcomes or quality levels for any individual piece of generated content.

Your Content: You retain all ownership rights to the original content, branding materials, logos, and business information you provide to Morphora. By submitting content to the platform, you grant us a non-exclusive, worldwide license to use, display, and modify that content solely for the purpose of providing our services to you.

Deliverables: Upon full payment, you own the website content, copy, and design assets created specifically for your project. This includes text, page layouts, and custom graphics produced through the Build Engine.

Platform & Technology: McFinnigan Innovations LLC retains all rights to the Morphora platform, including its software, AI models, algorithms, code, processes, tools, templates, and underlying technology. Morphora.ai is an intellectual property asset of McFinnigan Innovations LLC. Nothing in these Terms transfers ownership of any Morphora intellectual property to you.

Portfolio Rights: Unless you opt out in writing, we may display your completed project in our portfolio and marketing materials as an example of our work.

We strive to maintain high availability of the Morphora platform and all websites hosted through our infrastructure. However, you acknowledge that:

• The platform is provided on a "best effort" basis. We do not guarantee any specific uptime percentage or service level agreement (SLA) unless separately agreed in writing.
• Scheduled maintenance, system updates, and infrastructure changes may cause temporary service interruptions. We will provide reasonable advance notice when possible.
• We are not responsible for downtime caused by factors outside our control, including internet outages, third-party service failures, natural disasters, or force majeure events.
• Websites hosted on our infrastructure are deployed via Cloudflare and DigitalOcean. Hosting availability is subject to their respective infrastructure and service terms.

Termination by You: You may terminate your account at any time by contacting us or through your account dashboard. Upon termination, any remaining tokens in your account are forfeited and non-refundable. We will provide you with a copy of your website files and content upon request, subject to a reasonable data export period of 30 days.

Termination by Us: We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, fail to pay for services, or use the platform in a manner that could harm other users or our infrastructure. We will provide notice before termination except in cases of severe violations.

Data Retention: Following account termination, we will retain your data for 90 days to allow for data export requests. After this period, your data will be permanently deleted from our systems, except where retention is required by law or for legitimate business purposes (such as financial records).

Effect of Termination: Upon termination, your access to the platform and hosted services (including your live website, if hosted by us) will cease. Sections of these Terms that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, and indemnification provisions.

To the maximum extent permitted by applicable law:

• McFinnigan Innovations LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the platform.
• Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you have paid to McFinnigan Innovations LLC in the twelve (12) months immediately preceding the event giving rise to the claim.
• We are not liable for any loss or damage resulting from AI-generated content that you have reviewed, approved, and published.
• We are not liable for any third-party claims arising from your use of the platform or the content published on your website.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless McFinnigan Innovations LLC and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with:

• Your use or misuse of the platform.
• Content you provide or approve for publication.
• Your violation of these Terms or any applicable law.
• Your violation of any third-party rights, including intellectual property rights.

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will:

• Post the updated Terms on this page with a revised "Last updated" date.
• Notify active account holders via email at least 14 days before the changes take effect.
• Provide a summary of what changed for transparency.

Your continued use of the platform after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree with the updated Terms, you must stop using the platform and contact us to terminate your account.

These Terms and any disputes arising from the use of Morphora shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any legal action against McFinnigan Innovations LLC shall be filed in the courts of Wyoming. You consent to personal jurisdiction in these courts and waive any objection to venue.

Before initiating any formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
